Kinn x Coterie Giveaway Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. OPEN TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA EIGHTEEN (18) YEARS OF AGE AND OLDER. VOID IN RHODE ISLAND, PUERTO RICO AND WHERE PROHIBITED. THE GIVEAWAY BEGINS ON FEBRUARY 16, 2024, AT 10:00 AM ET AND ENDS AT 11:59 PM ET ON FEBRUARY 20, 2024 (THE “GIVEAWAY PERIOD”). The Giveaway is governed by these Official Rules and is subject to all applicable federal, state and local laws.

The Valentine’s Day: Kinn x Coterie Giveaway (“Giveaway”) is sponsored by Coterie Baby, Inc. (“Sponsor”). The Giveaway is in no way sponsored by, endorsed by, administered by, or associated with Instagram. Any questions, comments or complaints regarding this Giveaway should be directed to Sponsor, not Instagram or Kinn Studio.

The Giveaway is only open to legal residents of the fifty (50) United States and the District of Columbia (excluding Rhode Island) who are eighteen (18) years of age or older at time of entry. The Giveaway is void in Puerto Rico, outside the US, and where prohibited by law. A PUBLIC INSTAGRAM ACCOUNT IN GOOD STANDING IS REQUIRED TO PARTICIPATE AND RECEIVE A PRIZE. Employees, officers and directors of Sponsor, Kinn Studio, and their respective agents, and the members of their immediate families (spouses, parents, children, siblings, and each of their respective spouses, regardless of where they reside) or individuals living in the same household (whether related or not) of any of the above are not eligible to participate. In order to enter the Giveaway or receive the prize, you must fully comply with the Official Rules and, by entering, you represent and warrant that you agree to be bound by these Official Rules and the decisions of the Sponsor, whose decisions shall be binding and final in all respects relating to this Giveaway.

To receive one (1) entry into the Giveaway during the Entry Period entrants must (a) follow Sponsor’s Instagram handle @Coterie, and the Instagram handle @kinnstudio, (b) like the Giveaway post and, (c) leave a little love note in the Giveaway post comments to the person you've become in parenthood ("Entry") prior to the end of the Entry Period. Entries submitted by Entrants who do not follow @Coterie and @kinnstudio, do not like the Giveaway post, and do not leave a comment on the Giveaway post will be disqualified. Entrants' Instagram account must be public during the Entry Period in order to receive a valid Entry. ALL ENTRIES MUST BE RECEIVED BY 11:59 PM ET on February 20, 2024. Although it is free to enter, standard data charges may be incurred if you use your mobile device to enter the Giveaway. Limit one (1) Entry per person and per Instagram account during the Entry Period. Entries by the same person or Instagram account in excess of the limits stated herein will be disqualified. Entries will be deemed to have been submitted by the authorized account holder of the email address associated with the Instagram account from which entry is made at the time of the entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Entering or attempting to enter the Giveaway multiple times through the use of multiple email addresses or Instagram accounts is prohibited and any such entries will be deemed void and disqualified.

Two (2) potential Winners will be randomly selected by Sponsor or its agent on or about February 21, 2024, from all eligible Entries received during the Giveaway Period. Sponsor’s decisions as to the administration and operation of the Giveaway drawing and the selection of the potential winners are final and binding in all matters related to the Giveaway.

Sponsor will award two (2) Giveaway prizes, each consisting of: one (1) $500 USD Kinn Studio Gift Card; one (1) Coterie Newborn Gift (includes 1 pack of Size N diapers (<10 lbs; 31 diapers), 1 pack of Size 1 (8-12 lbs; 33 diapers), 1 travel-pack of wipes (18 wipes), 1 Coterie “Pouch” bag, and 1 stuffed rabbit) Approximate Retail Value (“ARV”) $125 USD; and a 3-month supply of Coterie diapers and wipes (ARV $345 USD) (each a “Prize”) Total ARV of each Prize is $970 USD; Total ARV of all Prizes is: $1940. Sponsor will award only one (1) Prize to each of the verified winners (each, a “Winner”). The Kinn Studio Gift Card will be delivered to each Winner via email to the email address provided to Sponsor upon winner notification, and the Coterie Newborn Gift and 3-month supply of Coterie diapers and wipes will be delivered to the postal address provided to Sponsor upon winner notification. Winner must consult and abide by the Kinn Studio e-gift card rules, terms and conditions, and expiration dates for use. Prizes are non-transferrable, and there are no substitutions or cash redemptions by Sponsor or Kinn Studio, except in the discretion of Sponsor, which has the right to substitute the Prize, or component of the prize, with a prize or prize component of equal or greater value selected by Sponsor in its sole discretion. The Prize consists only of the items expressly specified in these Official Rules. All expenses or costs associated with the acceptance or use of the Prize or any component of the prize are the responsibility of the Winner(s). All prize details that are not expressly specified in these Official Rules will be determined by Sponsor in its sole discretion. A properly claimed Prize will be awarded, but in no event will Sponsor award more Prizes that are provided for in these Official Rules. The Prize is awarded “as is” and without any warranty, except as required by law. In no event will more than the number of prizes stated in these Official Rules be awarded. All federal, state and local taxes on the value of the Prize are the responsibility of the winner. An IRS form 1099 will be issued if required by law. Odds of winning depend upon the number of eligible entries received during the Entry Period.

Potential Winners will be notified by Sponsor by Instagram direct message at the Instagram account handle used for their Entry on or about the day following the Drawing Date. Potential Winners will be required to respond to the notification within forty-eight (48) hours indicating whether they can accept the Prize. If no response is received within the time allotted, an alternate potential Winner may be randomly selected (time permitting). POTENTIAL WINNER MUST PROVIDE SPONSOR WITH A VALID EMAIL ADDRESS AND POSTAL ADDRESS TO RECEIVE PRIZE. Winner must be the Authorized Account Holder of the email provided. Any alternate potential Winner selected will also be required to respond to the notification within forty-eight (48) hours. Sponsor is not responsible for suspended or discontinued Internet or wireless service which may result in a potential Winner not receiving initial Prize notification. Any potential Winners may be required to execute and return an affidavit of eligibility and liability/publicity release by returning it via email to the email address designated by Sponsor at the time of request. In the event that (a) a potential winner cannot be reached or does not respond within forty-eight (48) hours (b) a potential winner declines or cannot accept, receive or use the prize for any reason, including, without limitation, a non-public Instagram account, or providing inaccurate e-mail address information; (c) or noncompliance with the above, (d) a potential winner is found to be ineligible to enter the Giveaway or receive the prize, (e) a potential winner cannot or does not comply with the Official Rules, or (f) a potential winner fails to fulfill any Affidavit-related obligations, the potential winner shall be disqualified from the Giveaway and an alternate potential winner may be selected, at Sponsor's sole discretion, from among the other eligible Entries received. Sponsor is not responsible for any Entrant’s change of Instagram handle, email address, postal address, telephone number, and/or other contact information.

Except where prohibited or restricted by law, a Winner's acceptance of Prize constitutes the Winner's agreement and consent for Sponsor and any of its designees to use and/or publish Winner's name, Instagram handle, city and state of residence, photographs, or video, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, internet or mobile. By entering the Giveaway, Entrants will be sharing their personal information with Sponsor, which personal information will be collected and be used for administration of the Giveaway and awarding the prize. In addition, by entering, Entrants agree to Sponsor's use of entrant's personal information as described in its privacy policyat https://www.coterie.com/privacy-policy. Please refer to Sponsor's privacy policy for important information regarding the collection, use and disclosure of personal information by Sponsor. Sponsor is not responsible for disclosures made by any third party.

Sponsor and its representatives, agents, successors, assigns, employees, officers, and directors shall not have any obligation or responsibility, including any responsibility to award any Prize to Entrants, with regard to: (a) Entries or other communications with Sponsor that contain inaccurate information or do not comply with or violate the Official Rules; (b) Entries, Prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind, including but not limited to, inaccurate account information, inaccurate postal address information, spam filters, inactive email, or social media accounts or an Entrant's failure to monitor its direct messages, spam folders or email and/or social media accounts; (c) Entrants who have committed fraud or deception in entering or participating in the Giveaway or claiming a Prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of a Winner to accept the Prize for any reason; (f) if a Prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather, state of emergency, governmental order, pandemic or any other similar event beyond Sponsor's reasonable control; or (g) any damages, injuries or losses of any kind caused by any Prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any prize or resulting from participating in this promotion or any promotion or Prize related activities. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Giveaway, or with any website or social media platform promoting or hosting the Giveaway; (b) acting in violation of the Official Rules; or (c) entering or attempting to enter the Giveaway multiple times through the use of multiple email addresses/Instagram accounts or the use of any robotic or automated devices to submit Entries. If Sponsor determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Giveaway, Sponsor reserves the right to void the Entries at issue, and/or terminate the relevant portion of the Giveaway promotion, including the entire Giveaway promotion, and/or modify the Giveaway and/or award the prizes in a random drawing from all eligible Entries received as of the termination date.

By participating in the Giveaway, Entrants and Winner(s) agree to release and hold harmless Sponsor, Instagram, and their respective parents, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers, directors and members (the "Released Parties"), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress), and/or death, which may occur in connection with preparation for, or participation in, the Giveaway, or possession, acceptance and/or use or misuse of the Prize or participation in any Giveaway-related or Prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and Prize delivery. The Released Parties assume no responsibility for any injury or damage to entrants or to any other person's computer, mobile phone or other device, regardless of how caused, relating to or resulting from entering or downloading materials or software in connection with this Giveaway. Entrants and Winners acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representations or guarantees, express or implied, in fact or in law, relative to any Prize or any component thereof. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrant or Sponsor in connection with the Giveaway, shall be resolved individually, without resort to any form of class action, and shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules. In addition, any dispute relating to the Giveaway (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in New York County, New York. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction that they may have. Any and all claims, judgment and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees, and under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of- pocket expenses, and further waives any and all rights to have damages multiplied or otherwise increased. 

By entering, you agree that Released Parties are indemnified, released and held harmless by you from any and all liability, for any damages, injuries, or losses of any kind to person(s) or property arising directly or indirectly from the acceptance, possession, misuse or use of the Prize or your participation in the Giveaway or any Giveaway-related activity, in any way.

The name of the Winner(s) will be available on or about thirty (30) days after the end of the Giveaway Period and posted at coterie.com/legal/winnerslist.
